1. Acceptance of Terms
Welcome to Vistella (the "Service"). Vistella is independently operated by Liu Yusong, an individual proprietor. By creating an account, purchasing credits, or using the Service, you confirm that you are at least 18, have read and agree to these Terms and the Privacy Policy, and have authority to accept them for yourself or your organization. If you do not agree, stop using the Service.
2. Description of Service
Vistella provides an internet-based SaaS platform and unified API for accessing listed third-party AI models, including image, video, music, and text generation. Models and providers are shown on the model and pricing pages and may change. Vistella is independent and is not affiliated with, endorsed by, or an official product of any model provider. The Service is a digital, intangible product made available after payment confirmation.
3. User Accounts
You must provide accurate account information and keep your login credentials, API keys, and billing email secure. You are responsible for activity under your account and must not share credentials with third parties. Notify support@vistella.xyz promptly about unauthorized access or an account-takeover concern.
4. Credits and Access
The Service uses prepaid credits. Credits are used to access generation features and are not a deposit, security, or cash equivalent. Available credit packages, included units, and model pricing are shown at /en/pricing before checkout. Credits do not expire or automatically renew, and no further charge is made unless you start a separate purchase.
5. Billing and Payment
Each credit purchase is a one-time transaction. The checkout page shows the package, credit quantity, currency, price, applicable taxes, refund terms, and the actual payment processor before payment. Waffo Pancake is the Merchant of Record for Vistella credit checkout: it processes the payment, handles applicable indirect taxes, and issues the customer invoice under the Waffo terms shown at checkout. We do not store payment card numbers. Prices may change prospectively with notice.
6. Credit Validity and Account Closure
Purchased credits do not expire unless the checkout page for a particular package clearly states an expiry date. If an account is closed, unused credits remain subject to the refund rules below and applicable law. We may suspend access while investigating fraud, abuse, payment disputes, or a safety incident.
7. Refund Policy
Consumed credits are generally non-refundable because they provide immediate digital access, except where applicable law requires otherwise. You may request a refund for unused credits within 7 days of purchase, duplicate charges, payment errors, fraud, or a service failure that prevented delivery. Send your account email and transaction ID to support@vistella.xyz. We normally acknowledge requests within two business days and process approved refunds through the payment provider.
8. Billing Disputes
If you believe a charge is incorrect, contact support@vistella.xyz before opening a bank or card dispute where reasonably possible. Include the transaction ID, account email, and a description of the issue. We normally respond within two business days and correct confirmed billing errors as soon as the payment provider permits.
9. AI Content and Intellectual Property
9.1 Output ownership: subject to these Terms and the applicable model provider terms, you own the output generated from your input and may use it for lawful purposes. 9.2 Input license: you grant Vistella a limited, non-exclusive license to process input content only to provide, secure, moderate, and support the Service. We do not use your input to train an AI model without your explicit consent. 9.3 Third-party models: output can be affected by third-party model providers and may be unavailable, duplicated, biased, or inaccurate. 9.4 Verification: review and verify AI output before relying on it.
10. Acceptable Use
You may use the Service only for lawful purposes and must follow the Acceptable Use Policy at /en/acceptable-use. You may not bypass safety controls; submit material without permission; generate illegal, abusive, deceptive, infringing, or prohibited content; resell access without written approval; systematically scrape outputs; or use inputs, outputs, model responses, or derived data to train, fine-tune, benchmark, distill, or develop an AI or machine-learning model that competes directly or indirectly with Vistella. You must not present AI-generated content as the work of a human professional, including a licensed doctor, lawyer, or financial adviser, where that could cause harm.
11. Data, Privacy, and Security
Your use of the Service is governed by the Privacy Policy at /en/privacy. Prompts, uploads, and generated results may be automatically safety-reviewed before and after generation; flagged material may be withheld or sent for human review. Moderation metadata is retained for 90 days by default. Card data is handled by the payment provider identified at checkout and is not stored on our servers.
12. Disclaimers and Liability Limit
The Service is provided "as is" and "as available" without express or implied warranties, including merchantability, fitness for a particular purpose, or AI output accuracy. AI output may be incomplete, outdated, or wrong and is not legal, medical, financial, or other professional advice; consult a qualified professional before acting on it. To the maximum extent permitted by law, Vistella is not liable for indirect, incidental, consequential, or punitive damages. Total liability is limited to the amount you paid to Vistella in the 12 months before the event giving rise to the claim.
13. Term and Termination
These Terms remain in effect while you use the Service. We may suspend or terminate an account for a serious breach, suspected fraud, safety risk, or legal requirement. If we terminate the Service for reasons unrelated to your breach, we will provide any refund required by applicable law for prepaid, unused credits. You may close your account by contacting support@vistella.xyz.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws applicable to the individual proprietor's tax residence, without regard to conflict-of-law rules. Before starting formal proceedings, contact support@vistella.xyz so we can attempt an informal resolution. Nothing in this section limits mandatory consumer rights or remedies that cannot lawfully be waived.
15. General Provisions
We may update these Terms. For a material change, we will notify existing users by email or a prominent service notice at least 14 days before it takes effect, unless a shorter period is required for a legal, security, or fraud-related change. Continued use after the effective date means acceptance. If part of these Terms is invalid, the remaining provisions continue. These Terms and the Privacy Policy form the complete agreement for the Service.
